Matt is chair of the firm's securities practice and concentrates his practice in the public finance, commercial lending and corporate fields.
His corporate experience includes representing corporate clients and investment banks in all aspects of public offerings, private placements and bank financings, as well as representing corporate clients in connection with mergers and acquisitions, tender offers and general corporate governance issues, including negotiating and drafting offering documents, subscription agreements, registration statements, underwriting agreements, asset purchase agreements, indentures and credit agreements. Matt has represented various clients in connection with Regulation D and other private placements. He also has experience representing corporate clients in connection with SEC filings under both the 1933 Act and the 1934 Act. Prior to joining the firm, Matt was a corporate associate with Cahill Gordon & Reindel, LLP.
