In the mergers and acquisition context, his experience includes: reviewing executive employment agreements and other executive compensation arrangements for compliance with or exception from the application of Internal Revenue Code Sections 280G and 409A; assisting with other executive compensation and benefit plan due diligence; evaluating employee benefit and executive compensation representations and covenants in transaction documents; and assisting with pre- and post-closing benefit plan integration (including plan mergers and terminations).
