Tracy advises not-for-profit and health care clients about corporate, compliance, and regulatory matters. She has extensive experience related to governance and fiduciary duties, board training, corporate formation and reorganization, and policies and procedures for exempt organizations, including conflicts of interest, investment policies, and executive compensation.
In relation to compliance and regulatory affairs, Tracy advises clients about corporate compliance policies and individual compliance matters as well as compliance with state and federal regulation. She has conducted compliance effectiveness reviews and investigations for not-for-profit and for-profit clients, including health systems and managed long-term care plans, in order to identify gaps and strengthen compliance programs.
Prior to joining Bond, Tracy was a member of the Health Care/Not-for-Profit Group at Cadwalader, Wickersham & Taft. From 2002-2007, she was General Counsel and Senior Vice President of the Catholic Health Care System (CHCS). In that role, she served as General Counsel to the health system parent organization and nine health care institutions, advising boards of directors and executive leadership throughout the health system about corporate governance and restructuring.
Tracy’s advice to clients is informed by her significant experience in government relations and public policy. Before joining CHCS, she was Vice President for Quality and Regulatory Affairs at the Greater New York Hospital Association and Project Director of the National Quality Forum Planning Committee, a group of national leaders in health care quality and delivery convened by Vice President Gore. Tracy was the founding Executive Director of the New York State Task Force on Life and the Law, the state commission that proposed the Family Health Care Decisions Act, the health care proxy law, and other state laws involving ethical issues in medicine.
